END USER LICENSE AGREEMENT (EULA) Adam AI Labs, Inc.

This End User License Agreement (“Agreement”) is a legal agreement between you (“User,” “you”) and Adam AI Labs, Inc. (“Adam,” “we,” “us,” or “our”) governing your access to and use of the Adam software and services, including any related documentation, updates, and integrations (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree, do not use the Service.

1. The Service Adam is an AI-powered CAD co-pilot that integrates with Onshape to assist with modeling, feature-tree cleanup, parameterization, and related design workflows. The Service is currently provided as a beta and may be incomplete, unstable, or subject to change.

2. License Grant Subject to your compliance with this Agreement, Adam grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal, lawful purposes. No rights are granted except as expressly stated in this Agreement.

3. Beta Disclaimer You acknowledge and agree that: - The Service is provided as a beta or pre-release offering - The Service may contain errors, bugs, or interruptions - Features may be modified, suspended, or removed at any time - Data loss, incorrect outputs, or degraded performance may occur - You use the Service at your own risk

4. User Responsibilities You agree that you will not: - Reverse engineer, decompile, or attempt to extract source code from the Service - Use the Service to violate any law or third-party rights - Interfere with or disrupt the integrity or performance of the Service - Use the Service to develop or train a competing product You are responsible for verifying all outputs generated by the Service before relying on them for manufacturing, safety-critical, or commercial use.

5. User Content and CAD Data You retain ownership of all CAD models, designs, files, and other content you provide to the Service (“User Content”). By using the Service, you grant Adam a limited, non-exclusive license to process User Content solely to provide and improve the Service, including model inference, debugging, analytics, and performance optimization. We do not claim ownership over your designs.

6. AI-Generated Outputs The Service may generate suggestions, modifications, or outputs using artificial intelligence. You acknowledge that: - AI-generated outputs may be inaccurate, incomplete, or incorrect - Outputs are provided as assistive suggestions, not professional advice - You are solely responsible for reviewing and validating outputs before use - Adam makes no guarantees regarding correctness, manufacturability, or fitness for purpose

7. Intellectual Property The Service, including all software, models, algorithms, interfaces, and branding, is owned by Adam AI Labs, Inc. and protected by intellectual property laws. Nothing in this Agreement transfers ownership of any Adam intellectual property to you.

8. Third-Party Services The Service integrates with third-party platforms, including Onshape. Your use of those services is governed by their respective terms. Adam is not responsible for third-party services, outages, or data handling outside our systems.

9. Pricing The Service is currently offered free of charge. Adam reserves the right to introduce paid plans, usage limits, or pricing changes in the future with notice.

10. Termination Adam may suspend or terminate your access to the Service at any time, with or without notice, including if you violate this Agreement. Upon termination, your license to use the Service immediately ends.

11. Disclaimer of Warranties THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADAM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW: ADAM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. ADAM’S TOTAL LIABILITY SHALL NOT EXCEED USD $100.

13. Indemnification You agree to indemnify and hold harmless Adam from any claims, damages, or liabilities arising from your misuse of the Service or violation of this Agreement.

14. Governing Law This Agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles.

15. Changes to This Agreement Adam may update this Agreement from time to time. Continued use of the Service after changes become effective constitutes acceptance of the revised Agreement.
